Acceptance of terms
By accessing or using AMLayer ("the Service"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Service.
These terms apply to all users of AMLayer, including compliance officers, legal professionals, accountants, and any other persons using the Service in a professional capacity.

Nature of the service
AMLayer is a decision-support tool. It uses artificial intelligence to assist with AML/CFT document review against New Zealand legislation. It is not legal advice, and does not constitute a compliance opinion, legal opinion, or professional certification of any kind.
AMLayer's output must be reviewed by a qualified professional before any compliance decision is made. You remain solely responsible for your organisation's AML/CFT compliance obligations under the NZ AML/CFT Act 2009 and all applicable legislation.
Where AMLayer flags that human review is required, onboarding must not proceed until a qualified AML officer has reviewed and signed off on the file.

Permitted use
You may use AMLayer solely for lawful AML/CFT compliance review purposes within your professional practice. You must not:
- Use the Service to process documents for purposes other than AML/CFT compliance review
- Attempt to reverse-engineer, copy, or replicate AMLayer's AI prompts or compliance logic
- Upload documents containing information you do not have lawful authority to process
- Represent AMLayer output as a certified compliance opinion or legal advice to any third party
- Share login credentials or allow unauthorised access to the Service

Data and privacy
AMLayer processes document text in memory. Original files are not stored on our servers. Review results exist only in your browser session. We do not retain, sell, or use your data to train AI models.
By using the Service, you confirm that you have obtained any necessary authorisation to process the personal information contained in the documents you upload, consistent with the NZ Privacy Act 2020.

Limitation of liability
To the maximum extent permitted by New Zealand law, AMLayer and its operators are not liable for:
- Any compliance failure, regulatory action, or financial loss arising from reliance on AMLayer output
- Inaccurate, incomplete, or incorrect analysis produced by the AI
- Loss of data or business interruption
- Any indirect, consequential, or incidental damages
AMLayer is a tool to assist professionals. The professional using it bears responsibility for the compliance outcome.

Intellectual property
All content, design, compliance logic, prompts, and software comprising AMLayer are the intellectual property of AMLayer and its licensors. You may not copy, modify, or distribute any part of the Service without prior written consent.
The AML/CFT review output generated for your specific documents belongs to you. AMLayer does not claim ownership over your review results.

Changes to terms
We may update these Terms from time to time to reflect changes in the Service or applicable law. We will indicate the date of the last update at the top of this page. Continued use of the Service after any changes constitutes acceptance of the updated Terms.

Governing law
These Terms are governed by the laws of New Zealand. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the New Zealand courts.
